1. Acceptance of terms

These Terms of Service ("Terms") are a binding agreement between you, or the organization you represent ("you"), and F7 Software, Inc. ("F7", "we", "us") governing your use of www.f7software.com and its content (the "Site"). By accessing or using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. If you are agreeing on behalf of an organization, you represent that you have the authority to bind it.

These Terms cover the Site only. Our software products and services — including Cylinder Management System, Arc Monitor Pro, Arc Cert, FraudCheck API, F7 Business Suite, custom development work, and cloud hosting — are provided under their own license agreements, subscription terms, quotes, or contracts, and the websites of those products have their own terms. Where those documents conflict with these Terms, they control for the product or service concerned.

2. Use of the Site

You may use the Site to learn about F7 and its products and services and to contact us. You agree not to:

  • use the Site in any way that violates applicable law or these Terms;
  • scrape, crawl, or harvest content or contact information from the Site, or use automated means to access it other than ordinary search-engine indexing;
  • send spam, bulk, deceptive, or malicious submissions through the contact form, or impersonate any person or organization;
  • probe, scan, or test the vulnerability of the Site, bypass its security or bot-protection measures, or interfere with its operation;
  • copy, modify, republish, or create derivative works from Site content except as expressly permitted in Section 4.

We may suspend or block access to the Site for anyone who, in our judgment, violates these Terms.

3. Contact form and communications

Information you submit through the contact form must be accurate and belong to you or be submitted with proper authority. By contacting us you agree that we may reply by email or telephone about your inquiry. Please do not send confidential or proprietary information through the Site; anything you submit is treated as non-confidential unless we have agreed in writing otherwise, and you grant us permission to use it to respond to you and improve our products and services. Submissions are subject to our Privacy Policy.

4. Intellectual property

The Site and everything on it — text, graphics, logos, images, page layouts, and software — are owned by F7 or its licensors and are protected by copyright, trademark, and other laws. You may view the Site and print or download individual pages for your own informational, non-commercial use, provided you keep all copyright and other proprietary notices intact. No other license or right is granted.

Trademarks. F7 Software, the F7 logo, Cylinder Management System, Arc Monitor Pro, Arc Cert, FraudCheck API, and F7 Business Suite are trademarks or service marks of F7 Software, Inc. QuickBooks is a trademark of Intuit Inc. Other names and marks on the Site belong to their respective owners and are used for identification only; no endorsement is implied. You may not use our marks without our prior written permission.

Copyright complaints. If you believe material on the Site infringes your copyright, send a notice to the contact in Section 14 with a description of the work, the location of the material on the Site, your contact details, and a statement of good-faith belief and accuracy made under penalty of perjury, and we will respond promptly.

5. Product information, pricing, and availability

Product descriptions, capabilities, compatibility, and availability on the Site are provided for general information and may change without notice. A product described as "coming soon" is in development: we make no commitment as to its release date, final features, or pricing, and nothing on the Site is an offer to sell. Purchases, subscriptions, and custom work are made only under a quote, order, or agreement signed or accepted separately, and the terms of that document govern the transaction.

6. Third-party websites and services

The Site links to websites and services we do not control, including the separate websites for our products and third-party sites such as Cloudflare. We provide these links for convenience; we are not responsible for their content, availability, or privacy practices, and a link does not imply endorsement. Your use of those sites is governed by their own terms.

7. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, F7 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). These limitations do not apply to liability that cannot be limited under applicable law, and they do not limit the terms of any separate product agreement.

9. Indemnification

You agree to defend, indemnify, and hold harmless F7 and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

10. Changes to the Site and to these Terms

We may change, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms; the current version is always posted here with its "Last updated" date, and changes take effect when posted. Your continued use of the Site after a change means you accept the revised Terms.

11. Governing law

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Subject to Section 12, the state and federal courts located in Cobb County, Georgia have exclusive jurisdiction over any dispute not subject to arbitration, and each party consents to personal jurisdiction and venue there.

12. Dispute resolution; arbitration; class-action waiver

Before starting any formal proceeding, you agree to first contact us (Section 14) and give us thirty (30) days to try to resolve the dispute informally. Any dispute that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Cobb County, Georgia; judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or confidential information.

You and F7 agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court under Section 11, and this Section will apply to all other claims.

13. General

These Terms and the Privacy Policy are the entire agreement between you and F7 regarding the Site and supersede any prior understanding about it. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control. You agree that communications from us about the Site may be provided electronically. Section headings are for convenience only.
